NZSOHNS Adopts New Constitution
The New Zealand Society of Otolaryngology and Head and Neck Surgery Incorporated has adopted a new Constitution, marking an important step in the Society’s ongoing governance renewal and long-term organisational development.
The new Constitution strengthens the Society’s foundations as a modern, transparent and accountable professional body. It aligns NZSOHNS with the requirements of the Incorporated Societies Act 2022, supports the Society’s charitable purposes, and provides a clearer framework for how Council, Officers, committees and the Chief Executive Officer work together on behalf of members.
Importantly, the Constitution reinforces the Society’s purpose: to advance the science and practice of Otolaryngology – Head and Neck Surgery, support education, training and research, provide leadership in health policy and service delivery, and promote equitable access to high-quality care across Aotearoa New Zealand. It also recognises the importance of improving equitable health outcomes, including for Māori and other priority populations.
The updated Constitution provides clearer provisions for membership, Council responsibilities, officer duties, conflicts of interest, financial stewardship, committee governance, dispute resolution, and the administration of the Linsell Richards Education Foundation. It also confirms the importance of maintaining proper records, transparent decision-making and appropriate governance controls.
This adoption forms part of a wider programme of work to modernise NZSOHNS governance, policies, systems and member services. Council and the Chief Executive Officer will continue developing supporting governance documents, policies and procedures to ensure the Constitution is implemented consistently, practically and in a way that supports the Society’s future.
NZSOHNS thanks members for their engagement and support through this important process. The adoption of the new Constitution provides a stronger platform for the Society’s continued work in education, training, advocacy, professional leadership, workforce development and service to the wider community.
